1. Agreement to Terms

By accessing or using Newtab ("the Extension", "the Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you are not permitted to use the Service and any use without agreement is at your own risk.

These Terms constitute a legally binding agreement between you and Newtab ("we", "us", "our").

2. Description of Service

Newtab is a browser extension that provides enhanced tab management features, including:

• Tab organization and filtering
• Window management
• Focus mode and productivity features
• Tab position previews
• Background cleanup patterns

The Service is available in both free and premium (paid subscription) tiers.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Age Requirement

You must be at least 13 years old to use Newtab. If you are under 18, you must have parental or guardian consent.

3.3 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription and Billing

4.1 Paid Subscriptions

Newtab offers premium features through paid subscriptions:

• Pro Monthly: $3.99 per month
• Pro Yearly: $39.99 per year

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.

4.3 Payment Processing

All payments are processed securely through Stripe. You authorize us to charge your payment method for all fees incurred. You are responsible for:

• Maintaining valid payment information
• All taxes associated with your subscription
• Any fees imposed by your bank or payment provider

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at your next renewal. Continued use after a price change constitutes acceptance of the new price.

4.5 Plan Switching

You may switch between monthly and yearly plans at any time. Proration will be applied automatically:

• Upgrades are charged immediately with credit for unused time
• Downgrades apply credit to your account for future billing

4.6 Refund Policy

All subscription payments are non-refundable. Refunds may be issued at our sole discretion on a case-by-case basis for special circumstances.

4.7 Cancellation

You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation:

• You will retain access until the end of your current billing period
• No refund will be issued for the remaining time
• You will revert to the free plan after expiration

5. License and Usage Rights

5.1 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use Newtab for your personal, non-commercial use, subject to these Terms.

5.2 Restrictions

You may NOT:

• Modify, reverse engineer, or decompile the Extension
• Remove any copyright or proprietary notices
• Use the Service for illegal or unauthorized purposes
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated tools to access the Service
• Resell, sublicense, or transfer your account
• Share your account with others

5.3 Intellectual Property

All content, features, and functionality of Newtab are owned by us and protected by copyright, trademark, and other intellectual property laws. Our trademarks may not be used without prior written consent.

6. User Data and Privacy

Your use of Newtab is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Disclaimers and Warranties

7.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of information

7.2 No Data Loss Guarantee

While we strive to provide reliable service, we are not responsible for:

• Loss of data stored locally in your browser
• Browser compatibility issues
• Conflicts with other extensions
• Service interruptions or downtime

You are responsible for maintaining backups of any important data.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY
• FOR FREE USERS, OUR LIABILITY SHALL NOT EXCEED $50

This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory.

9. Indemnification

You agree to indemnify, defend, and hold harmless Newtab and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any third-party rights
• Any unauthorized access to your account

10. Updates and Changes

10.1 Service Updates

We may update, modify, or discontinue the Service (or any part of it) at any time with or without notice. We are not liable for any modification, suspension, or discontinuance of the Service.

10.2 Terms Updates

We may revise these Terms at any time. Material changes will be notified via:

• Updating the "Last updated" date
• Email notification to your account email
• In-app notification

Continued use after changes constitutes acceptance of the revised Terms.

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription (if applicable)
• Contacting support@newtab.sh to delete your account
• Uninstalling the Extension

11.2 Termination by Us

We may terminate or suspend your account immediately, without notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Abuse the Service or our support team
• Fail to pay subscription fees

11.3 Effect of Termination

Upon termination:

• Your license to use the Service immediately ends
• You lose access to premium features
• Your account data will be deleted within 30 days
• Local browser data remains on your device

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

12.2 Dispute Resolution

For any dispute arising from these Terms or the Service:

1. Informal Resolution: Contact support@newtab.sh to attempt resolution
2. Mediation: If informal resolution fails, parties agree to mediation
3. Arbitration: Binding arbitration as a last resort (small claims court excluded)

12.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class-wide arbitration.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Newtab.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

13.4 Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

13.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
